TERMS & CONDITIONS
1. Payment Terms
– Advance Payment: The Sender agrees to pay 70% of the total fee ) upfront upon signing this Agreement.
– Final Payment: The remaining 30% will be payable upon successful delivery and inspection of the goods in Kano.
– All payments should be made via [bank transfer, cheque, etc.].
2. Delivery Timeline
The Provider shall complete the transportation within [number of days agreed] from the pick-up date.
Delays caused by unforeseen circumstances (e.g., natural disasters, strikes, etc.) will be communicated promptly, and both parties will agree on a new timeline.
3. Insurance and Liability
The Provider shall not be liable for damage or loss of goods arising from the Sender’s negligence, failure to provide correct documentation, or improper packaging of goods.
4. Inspection and Acceptance of Goods
The Sender must ensure that all goods are properly packaged and labeled.
Upon delivery, the Receiver (designated by the Sender) must inspect the goods and confirm acceptance. Any discrepancies must be reported immediately.
5. Cancellation and Amendments
– Either party may cancel the Agreement with written notice [2] days prior to the scheduled pick-up date.
– Amendments to this Agreement can only be made in writing and signed by both parties.
6. Force Majeure
Neither party shall be held responsible for failure to perform their obligations under this Agreement due to circumstances beyond their reasonable control, including but not limited to, acts of God, wars, riots, acts of civil or military authorities, fire, floods, accidents, or shortages of transportation facilities.
7. Dispute Resolution
– In the event of a dispute arising from this Agreement, both parties will attempt to resolve the matter through amicable negotiations.
– If resolution cannot be achieved, the dispute will be referred to an arbitrator mutually agreed upon by both parties.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
9. Notices
All notices or other communications required or permitted under this Agreement shall be in writing and deemed delivered when delivered personally or via email or registered mail to the addresses specified above.
10. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind.
